Agreement to Terms

Welcome to Grumpy Wizdom ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website grumpywizdom.com, our live show, coaching services, and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

Services Description

Grumpy Wizdom offers the following services:

• The Live Show: Virtual coaching sessions conducted in front of a live online audience
• Guest Coaching: Free coaching opportunities for selected applicants during live shows
• Private Coaching: One-on-one and group coaching services with Talib Jasir
• Podcast: Audio storytelling content exploring personal narrative and cultural insight
• Partnership Opportunities: Sponsorship and collaboration opportunities for businesses

User Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you:

• Are at least 18 years of age
• Have the legal capacity to enter into these Terms
• Will use the Services in compliance with these Terms and all applicable laws
• Will provide accurate, current, and complete information

Coaching Services Disclaimer

IMPORTANT: OUR COACHING SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, PSYCHIATRIC, OR PSYCHOLOGICAL ADVICE, DIAGNOSIS, OR TREATMENT.

• Grumpy Wizdom provides professional coaching services focused on mindset, clarity, and action
• Coaching is not therapy, counseling, or mental health treatment
• We do not diagnose, treat, or cure any medical or mental health conditions
• If you are experiencing a mental health crisis, please contact emergency services or a mental health professional immediately
• Results from coaching vary by individual and are not guaranteed
• Coaching requires active participation and commitment from the client

Live Show & Guest Participation

Audience Members

By attending a live show, you agree to:

• Maintain a respectful and supportive environment
• Not record, screenshot, or share content from live sessions without permission
• Understand that your participation may be visible to other attendees
• Follow the host's instructions and community guidelines

Guest Coaching Sessions

By applying to be a guest on the live show, you understand and agree that:

• Recording & Distribution: The session will be recorded and may be distributed publicly through various channels including but not limited to: video platforms, podcasts, social media, and promotional materials
• Content Rights: You grant Grumpy Wizdom a perpetual, worldwide, royalty-free license to use, reproduce, distribute, and display the recorded content
• Anonymity Not Guaranteed: While we can discuss anonymity options, full anonymity cannot be guaranteed once content is publicly distributed
• Voluntary Participation: Your participation is completely voluntary and you may withdraw before the session
• No Guarantee of Acceptance: Submitting an application does not guarantee you will be selected as a guest
• Preparation: You agree to come prepared to discuss your specific challenge openly and honestly

Intellectual Property Rights

All content on our website and Services, including but not limited to text, graphics, logos, images, audio, video, and software, is the property of Grumpy Wizdom or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, distribute, or reproduce any content without permission
• Use our content for commercial purposes without a license
• Remove copyright or proprietary notices from any content
• Reverse engineer or attempt to extract source code from our Services

User Conduct

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Upload or transmit viruses or malicious code
• Collect or harvest personal information of other users
• Use the Services to distribute spam or unsolicited messages

Payment Terms

For paid coaching services:

• Fees: All fees will be clearly communicated before you commit to a service
• Payment: Payment is required before services are rendered unless otherwise agreed
• Refunds: Refund policies will be specified at the time of purchase. Generally, coaching services are non-refundable once delivered
• Cancellation: Cancellation policies will be provided at the time of booking
• Late Payments: Late payments may result in suspension of services

Confidentiality

For Private Coaching: We maintain confidentiality of private coaching conversations, except where:

• You provide consent to share information
• Required by law or legal process
• Necessary to prevent harm to you or others
• Necessary to protect our legal rights

For Live Show Guest Sessions: Content from live show sessions is public and not confidential, as outlined in the Guest Coaching Sessions section above.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRUMPY WIZDOM SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage resulting from your use of the Services
• Any damages arising from your reliance on information obtained through the Services
• Interruption or termination of the Services

Our total liability to you for any claims arising from these Terms or use of our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

Indemnification

You agree to indemnify, defend, and hold harmless Grumpy Wizdom, Talib Jasir, and their affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit or share through the Services

Termination

We reserve the right to:

• Terminate or suspend your access to the Services immediately, without notice, for any violation of these Terms
• Remove any content that violates these Terms or is otherwise objectionable
• Refuse service to anyone for any reason at any time

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Services shall be resolved through:

1. Informal Negotiation: First, contact us to attempt to resolve the dispute informally
2. Mediation: If informal negotiation fails, the parties agree to mediation before pursuing litigation
3. Binding Arbitration: If mediation fails, disputes shall be resolved through binding arbitration

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending an email notification (if you have provided an email address)

Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grumpy Wizdom regarding use of the Services and supersede all prior agreements and understandings.
